MEMORANDUM OF UNDERSTANDING

Party A: Gary Yong Gee, proprietor of Gary Yong Gee Orchid Website (orchids.yonggee.name), hereinafter referred to as "PARTNER"

Party B: Jeffery S. Parham, B.A., M.A. Biology CSUF, M.S. Plant Pathology UC Riverside, President of Five Cities Orchid Society, creator and owner of The Orchid Continuum research platform, hereinafter referred to as "FCOS"

This agreement establishes a collaborative partnership to advance orchid research and education through:

• Enhanced Digital Presence: Integration of advanced search, mapping, and AI analysis capabilities into PARTNER's existing website
• Scientific Research: Utilization of PARTNER's extensive photographic collection for breakthrough research in natural selection patterns and trait inheritance in wild orchid populations
• Data Preservation: Permanent archival and protection of PARTNER's valuable orchid documentation
• Mutual Attribution: Full credit and recognition for both parties' contributions to the orchid community

3.1 Non-Intrusive Integration: FCOS commits to enhancing PARTNER's website capabilities without altering existing content, design, or functionality.

3.2 Content Ownership: PARTNER retains full ownership of all photographic content and written materials. FCOS gains research usage rights with proper attribution.

3.3 Technical Implementation: All enhancements will be implemented as optional widgets and tools that PARTNER can activate or deactivate at will.

3.4 Data Security: All shared data will be stored securely with industry-standard encryption and backup protocols.

4.1 Research Usage: FCOS may utilize PARTNER's photographic collection for scientific research purposes, including AI analysis of morphological patterns, natural selection studies, and taxonomic correlation research.

4.2 Attribution Requirements: All research publications, presentations, and public demonstrations will prominently credit PARTNER and the Gary Yong Gee Orchid Website.

4.3 Publication Rights: PARTNER will be offered co-authorship on relevant scientific publications resulting from this collaboration.

4.4 Commercial Restriction: Neither party may commercialize the other's content without explicit written consent.

5.1 API Integration: FCOS will provide PARTNER with API access (Key: gary_orchid_continuum_2025) for bulk data sharing and integration.

5.2 Widget Deployment: Search, mapping, and identification widgets will be made available for integration into PARTNER's existing website structure.

5.3 Maintenance & Support: FCOS will provide ongoing technical support and maintenance for all integrated features.

5.4 Performance Standards: All integrated features must maintain website performance standards and load times.

6.1 Initial Term: This agreement shall remain in effect for an initial period of three (3) years from the effective date.

6.2 Renewal: The agreement will automatically renew for additional one-year periods unless either party provides 90 days written notice of non-renewal.

6.3 Termination Rights: Either party may terminate this agreement with 30 days written notice. Upon termination, all integrated features will be removed, but FCOS retains rights to research data already collected.

6.4 Data Return: Upon termination, PARTNER may request return or deletion of all shared photographic content.

7.1 Existing IP: Each party retains ownership of their pre-existing intellectual property.

7.2 Collaborative Work: Any new research findings, algorithms, or methodologies developed through this collaboration will be jointly owned.

7.3 Software Tools: FCOS retains ownership of The Orchid Continuum platform and associated software tools.

7.4 Trademark Usage: Each party grants the other limited rights to use their name and trademarks for partnership promotion purposes.

8.1 Confidential Information: Both parties agree to maintain confidentiality of proprietary information shared during this collaboration.

8.2 Data Privacy: All data handling will comply with applicable privacy laws and regulations.

8.3 Third-Party Disclosure: Neither party may share the other's confidential information with third parties without written consent.

This agreement shall be governed by the laws of the State of California, United States. Any disputes will be resolved through good faith negotiation, and if necessary, binding arbitration in San Luis Obispo County, California.
